Abstract In an increasingly complex financial landscape, corporate governance plays a crucial role in shaping the resilience and stability of the insurance sector. This chapter delves into the governance framework under the Solvency II Directive, highlighting how robust oversight, risk management, and internal controls are essential for navigating regulatory challenges and ensuring long-term sustainability. It explores the critical responsibilities of the Administrative, Management, or Supervisory Body (AMSB) and the key independent functions—risk management, compliance, internal audit, and actuarial. Additionally, it examines the growing impact of sustainability risks, macroprudential considerations, and the enduring prudent person principle on investment strategies. By reinforcing transparency, accountability, and adaptability, Solvency II not only enhances regulatory compliance but also strengthens insurers’ ability to thrive in an evolving risk environment. Aligned with the recent amendments to the Solvency II Directive, corporate governance in the insurance sector remains a pivotal element of the regulatory framework, essential for addressing future challenges.
