Abstract
Abstract This chapter delves into the intricacies of regulatory frameworks governing group governance under Solvency II, with a particular emphasis on the new requirements for systemic risk management introduced by the Solvency II Review. This Review has methodically expanded the ambit of group supervision, articulating an exhaustive framework for the oversight and governance of conglomerates, accentuating the dimensions of scope, risk management, supervisory authority, protection of policyholders, and supervisory interventions. Furthermore, the Review manifests a pronounced eagerness to ascertain that individuals who effectively orchestrate a group’s operations, or fulfil other key roles, duly consider the specific responsibilities assigned to each person, thereby ensuring a rich diversity in qualifications, knowledge, and pertinent experience, which is quintessential for the professional management and supervision of the entity. Moreover, the discourse extends to the exploration of exemplary governance practices within both centralised and decentralised group structures. Additionally, the chapter sheds light on the vulnerabilities identified within the Solvency II Review framework.
